Terms and Conditions for Onexl POS (Yearly Subscription)

1. Acceptance of Terms

By using the Onexl POS software ("Software"), a web and cloud-based solution provided by Onexl Software Solutions Pvt Ltd, you agree to these Terms and Conditions. Your access to the Software is conditioned upon compliance with these terms. If you do not agree, do not use the Software.

2. License and Subscription

Onexl Software Solutions Pvt Ltd grants your restaurant a non-exclusive, non-transferable license to use the Software under a yearly subscription plan. The subscription will renew automatically unless canceled per the cancellation policy outlined in Section 8.

3. Software Use and Account Responsibilities

• The Software may only be used by your restaurant for internal operations, such as order management, billing, and inventory tracking.
• You are responsible for maintaining the confidentiality of your login credentials. Any activity under your account is your responsibility.
• The Software may not be used for illegal activities or for purposes outside of restaurant operations.

4. Fees, Full Payment, and Renewals

• Full Payment in Advance: The subscription fee for the Onexl POS Software must be paid in full and in advance at the beginning of each yearly subscription term.
• The exact subscription fee is outlined in your purchase agreement.
• Automatic renewals: Your subscription will renew automatically at the end of each term unless canceled before the renewal date.
• Failure to make full payment in advance may result in suspension or denial of access to the Software.
• If your subscription is renewed, you agree to the applicable charges for the following term, payable in full at the start of the new term.

5. Software Updates and Maintenance

We will periodically release updates to improve features, security, or performance. These updates will be applied automatically and may require acceptance of updated terms and conditions.

Maintenance services, including troubleshooting and bug fixes, will be available based on the service agreement tied to your subscription.

6. Data Privacy and Security

Onexl Software Solutions Pvt Ltd takes the security of your data seriously. All transaction data, customer information, and other sensitive information will be handled in compliance with our Privacy Policy and applicable laws.

While we implement industry-standard security measures, we do not guarantee absolute security.

7. Data Backup

We provide optional data backup services as part of your subscription. However, you are advised to maintain your own data backups.

Onexl Software Solutions Pvt Ltd is not liable for data loss resulting from hardware failure, user error, or external breaches unless data backup is explicitly included in your subscription plan.

8. Cancellation and Termination

• You may cancel your subscription at any time, but cancellations will take effect at the end of the current billing cycle. No refunds will be provided for unused portions of the subscription term.
• Onexl Software Solutions Pvt Ltd reserves the right to terminate your account in cases of breach of these terms, including non-payment or misuse of the Software.
• Upon cancellation or termination, access to the Software and any associated data will be revoked unless otherwise agreed in writing.

9. Limitation of Liability

Onexl Software Solutions Pvt Ltd is not liable for any direct or indirect damages, including lost revenue, business interruption, or data loss, arising from the use or inability to use the Software.

We are not responsible for third-party systems or devices that you use with our Software.

10. Intellectual Property

All intellectual property rights to the Software, including its design, code, and associated trademarks, are owned by Onexl Software Solutions Pvt Ltd. You may not copy, modify, or distribute any part of the Software.

Any unauthorized use of the Software is strictly prohibited.

11. Governing Law

These Terms and Conditions are governed by the laws of [Your Jurisdiction]. Any legal disputes will be resolved in the courts of [Your Jurisdiction].

12. Warranties
